1. Agreement and eligibility
These Terms govern your access to PortGate Nexus. By creating an account or using the platform, you agree to these Terms, our Privacy Policy, and our Compliance Policy. You must be at least 18 years old and have legal authority to act for yourself or the business you represent.
2. Accounts and security
You must provide accurate registration information, keep account details current, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorised access. You are responsible for activity performed through your account unless applicable law provides otherwise.
3. Services and user instructions
PortGate Nexus provides digital tools and coordination services for trade compliance, classification, duty estimation, financing enquiries, payments, logistics, insurance, storage, support, and related workflows. Availability and scope may vary by transaction, provider, location, subscription, and regulatory requirement.
4. Your information and documents
You represent that information and documents you provide are accurate, lawful, and submitted with all necessary rights and permissions. You remain responsible for verifying declarations and approvals before relying on or submitting them to any regulator, financial institution, insurer, carrier, or other third party.
5. Estimates and advisory outputs
HS classifications, duty calculations, exchange rates, timelines, risk scores, AI responses, and compliance guidance are estimates or advisory outputs based on available information. They are not legal advice or binding government decisions and may change following human review, inspection, valuation, exchange-rate movement, or regulatory action.
6. Fees and payments
Applicable fees, taxes, subscription terms, and payment conditions will be shown before purchase or communicated in a service quotation. Third-party payment providers process card and bank-payment details under their own terms. Except where required by law or expressly agreed, fees for completed or commenced services may be non-refundable.
7. Third-party services
The platform may connect you with payment providers, lenders, insurers, warehouses, carriers, customs agents, data providers, and other independent services. Their approvals, pricing, performance, availability, and terms are outside our direct control unless we expressly state otherwise.
8. Acceptable use
You must not use the platform unlawfully; upload malicious code; interfere with security; scrape or reverse-engineer protected services; impersonate another person; infringe intellectual-property or privacy rights; submit fraudulent information; or use the service for prohibited trade or financial activity.
9. Intellectual property
PortGate Nexus and its licensors retain rights in the platform, software, design, databases, models, documentation, and branding. You retain ownership of content you submit and grant us a limited licence to host, process, reproduce, and share it as necessary to provide, secure, support, and improve the requested services.
10. Availability and changes
We work to keep the platform secure and available but do not guarantee uninterrupted or error-free operation. We may maintain, modify, suspend, or discontinue features and may impose reasonable limits to protect users, infrastructure, or legal compliance.
11. Disclaimers and liability
To the maximum extent permitted by law, PortGate Nexus is not responsible for indirect or consequential loss, regulatory decisions, third-party acts, delays outside our reasonable control, or losses caused by inaccurate user information. Nothing in these Terms excludes liability that cannot lawfully be excluded or limits rights you may have under applicable law.
12. Suspension and termination
You may stop using the service at any time. We may restrict or terminate access where reasonably necessary for security, non-payment, legal compliance, breach of these Terms, or protection of users and third parties. Provisions intended by their nature to survive termination will remain effective.
13. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, the parties should attempt in good faith to resolve a dispute through written notice and discussion. Any unresolved dispute will be handled by a court or other forum with lawful jurisdiction in Nigeria.
14. Changes and contact
